RUNDLL32.EXE errors at shutdown are usually caused by spyware.
Check this out and see if you can find the *.dll file that's the culprit.
Most likely scumware.

1) open system.ini
2) look for a line similiar to "SCRNSAVE.EXE=C:\WINDOWS\SYSTEM\3DTEXT~1.SCR"
3) make that "SCRNSAVE.EXE="
4) Restart the computer
5) Your screen saver should be disabled.
